What is an Alternative Investment Fund?

An AIF is a privately pooled investment vehicle established in India that invests according to a defined investment policy for the benefit of its investors.

Unlike mutual funds, AIFs raise capital through private placement. Their investment strategies, eligibility requirements, fees and withdrawal conditions vary between funds.



Understanding the three AIF categories

Category I

Funds investing in areas such as start-ups, early-stage businesses, small and medium enterprises, infrastructure and other sectors considered socially or economically desirable.

Category II

Funds that do not fall within Category I or Category III, including many private equity and debt funds. Borrowing and leverage are restricted, subject to applicable regulatory provisions.

Category III

Funds employing diverse or complex trading strategies, which may use leverage, including through derivatives. Their strategies can involve significant market and leverage-related risks.



Is an AIF appropriate for you?

AIFs are not suitable for every investor. Before considering an investment, assess whether you:

  • Meet the applicable investor eligibility and minimum commitment requirements.
  • Understand the fund’s strategy and the possibility of losing some or all of your investment.
  • Can commit capital for the required period without relying on early access.
  • Can meet future capital calls, where applicable.
  • Understand the fees, expenses and tax implications.
  • Have considered the investment within your wider financial circumstances.

Meeting an eligibility requirement does not, by itself, establish that an investment is suitable.



What to review before investing

Investment strategy

Understand where the fund invests, how it selects investments and the risks associated with its approach.

Fund manager and governance

Review the manager’s relevant experience, investment process, reporting arrangements and management of potential conflicts of interest.

Commitment and liquidity

Check the fund tenure, capital contribution schedule, transfer restrictions, redemption conditions and any provisions for extending the tenure.

Fees and expenses

Understand management fees, performance-linked fees or carried interest, fund expenses and any distribution-related compensation.

Risk disclosures

Consider market, credit, concentration, liquidity and valuation risks, together with leverage and other strategy-specific risks where applicable.

Fund documentation

Read the Private Placement Memorandum, contribution agreement and relevant disclosures carefully. Seek independent legal and tax advice where necessary.



Frequently asked questions

Do AIFs guarantee higher returns?

No. Alternative investment strategies do not guarantee superior performance, regular income or capital protection. Outcomes depend on the underlying investments, fund strategy, costs and market conditions.

Can I withdraw my investment whenever I need it?

Not necessarily. Many AIFs involve long commitments and restricted exit options. Withdrawal and transfer rights depend on the fund’s structure and governing documents.

Does SEBI registration mean an investment is safe?

No. Registration should not be interpreted as an endorsement of a fund, its strategy or its expected performance.

Are all AIFs the same?

No. Funds can differ substantially in their investment approach, risk exposure, tenure, liquidity, fees and tax treatment. Each fund requires a separate assessment.
